Terms of Engagement

These Terms govern every research engagement undertaken by First Precedent. By instructing First Precedent, the instructing party agrees to be bound by these Terms.

1. Scope of Engagement

These Terms of Engagement govern the relationship between First Precedent (a unit of Bahali Investment Group LLP) and any person or organisation that instructs First Precedent to undertake legal research.

An engagement is formed when First Precedent issues a written fee proposal and the instructing party confirms acceptance in writing. No work commences before written confirmation.

2. Nature of the Work Product

First Precedent provides legal research and analysis. The work product is produced to support the professional judgment of a licensed practitioner. It does not constitute legal advice and does not create an advocate–client relationship.

The instructing practitioner remains solely responsible for the application of the research to any matter, the advice given to any end client, and any decisions made on the basis of the work product.

3. Fees and Payment

Fees are set out in the written fee proposal accepted by the instructing party. First Precedent operates on the billing models set out on the Pricing page; the applicable model for each engagement is confirmed in the proposal.

Invoices are payable within fourteen days of issue unless a different term is agreed in writing.

4. Confidentiality

First Precedent treats all materials, instructions, and information received in the course of an engagement as strictly confidential. The full terms of confidentiality are set out in the Confidentiality Charter.

5. Intellectual Property

On receipt of full payment, all intellectual property in the work product vests in the instructing party. First Precedent retains no rights to use, reproduce, or publish the work product without written consent.

6. Limitation of Liability

7. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at New Delhi.

8. Amendments

First Precedent reserves the right to amend these Terms at any time. Amendments take effect on publication to this page. Engagements already confirmed under prior Terms are not affected.
